1. Agreement to Terms
By accessing or using the tPay365 platform ("Service"), operated by tPay365 Ltd ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
These Terms apply to all users of the Service, including employers, employees, administrators, and visitors.
2. Description of Service
tPay365 is a financial wellness platform that provides obligation-first payroll infrastructure. The Service enables automated routing of salary funds to essential obligations (rent, bills, debt repayment, savings) before presenting a "Clean Paycheck" — the true safe-to-spend balance.
The Service includes, but is not limited to: payroll integration, vault-based fund segregation, BACS payment processing, CleanPaycheck calculation, and employer/employee dashboards.
tPay365 is not a bank, building society, or credit institution. We do not provide financial advice. Customer funds are held by FCA-regulated banking partners in safeguarded accounts.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Be a resident of the United Kingdom
- Have the legal capacity to enter into a binding agreement
- Provide accurate and complete registration information
- Not have been previously suspended or removed from the Service
4. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised access to or use of your account.
We implement industry-standard security measures including AES-256 encryption, mutual TLS authentication, and multi-factor authentication. However, no method of electronic transmission or storage is 100% secure.
After five consecutive failed login attempts, your account will be temporarily locked for 15 minutes for security purposes.
5. Financial Services
tPay365 operates as an Authorised Agent under FCA-regulated banking partners. Customer funds are held in safeguarded accounts separate from our operational funds and are protected under FCA safeguarding rules.
We do not provide investment advice, credit services, or insurance products. The Clean Paycheck calculation and Affordability Pilot features are informational tools and do not constitute financial advice.
All payment processing is conducted via BACS (Bankers' Automated Clearing System) and Faster Payments in accordance with UK payment regulations.
6. User Obligations
You agree to:
- Provide accurate, current, and complete information during registration and throughout your use of the Service
- Keep your account credentials secure and confidential
- Not use the Service for any unlawful purpose, including money laundering, fraud, or terrorist financing
- Not attempt to gain unauthorised access to any part of the Service, other users' accounts, or our systems
- Not interfere with or disrupt the integrity or performance of the Service
- Comply with all applicable UK laws and regulations
7. Employer Responsibilities
Employers using the Service to manage employee payroll agree to:
- Obtain appropriate consent from employees before enrolling them in the Service
- Provide accurate payroll data including gross salary amounts and payment schedules
- Maintain up-to-date employee records in connected HRIS systems
- Comply with all applicable employment and data protection laws
8. Intellectual Property
The Service, including its original content, features, functionality, design, and branding, is and will remain the exclusive property of tPay365 Ltd and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws of the United Kingdom and foreign jurisdictions.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any material from the Service without prior written consent.
9. Privacy and Data Protection
Your use of the Service is also governed by our Privacy & Data Policies, which describes how we collect, use, store, and protect your personal data in accordance with the UK GDPR and Data Protection Act 2018.
We employ a two-server architecture with PII isolation, ensuring your personal data is encrypted at rest and in transit, and is never stored alongside business logic data.
10. Fees and Payments
Certain features of the Service may be subject to fees. We will provide clear notice of any applicable fees before you incur them. All fees are quoted in British Pounds Sterling (GBP).
We reserve the right to modify our fee structure with reasonable advance notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
11. Service Availability
We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to affected users.
12. Limitation of Liability
To the maximum extent permitted by applicable law, tPay365 Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
13. Indemnification
You agree to indemnify and hold harmless tPay365 Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. You may request deletion of your data in accordance with our Privacy Policy and your rights under UK GDPR.
15. Dispute Resolution
Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If a dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, where appropriate, notifying you via email or in-app notification.
Your continued use of the Service after any changes to these Terms constitutes acceptance of those changes.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
